User and Membership Agreement

This User and Membership Agreement ("Agreement") is entered into between Musichool OÜ , located at Põhja-Tallinna linnaosa, Paavli tn 5a/1, 10412, Harju maakond, Tallinn, Estonia ("Musichool"), which operates the website available at www.musichool.co/tr ("Site"), and the individual user ("User"). Musichool and the User shall collectively be referred to as the "Parties."

Subject of the Agreement

This Agreement governs (i) the terms and conditions applicable to the User's access to and use of the Site, and (ii) the electronic delivery of products and services displayed on the Site by Musichool to the User.

Obligations of the Parties

Obligations of Musichool

Musichool agrees and undertakes to provide access to the services and products available on the Site, except in cases of force majeure.

Obligations of the User

The User agrees not to produce or share any content within the Site that is immoral, unlawful, misleading, offensive, obscene, pornographic, harmful to personal rights, infringing on intellectual or industrial property rights, or encouraging illegal activity. The User shall be solely responsible for any damages arising from such actions. Musichool reserves the right to suspend or terminate such accounts without prior notice and to initiate legal proceedings where appropriate.

The User further agrees and undertakes not to copy, reproduce, distribute, or make available to third parties any material on the Site, including but not limited to courses and materials protected by the intellectual property rights of instructors.

Users are solely responsible for the security of all access tools (including devices, passwords, and authentication methods) used to access Musichool services. Musichool shall not be liable for any direct or indirect damages incurred by the User or third parties as a result of the User's negligence or failure to protect these access tools.

The User declares, represents, and warrants that all information and content provided by them on the Site is accurate and lawful. Musichool is not obliged to verify the accuracy, completeness, or currency of data submitted by the User, and shall not be held liable for any damages resulting from incorrect, incomplete, or outdated information provided by the User.

The User may not assign or transfer any rights or obligations arising under this Agreement, in whole or in part, to any third party without Musichool's prior written consent. If either Party breaches this clause, the breaching Party agrees to pay a contractual penalty equivalent to one year's membership fees.

Acceptance of the Agreement

By marking the relevant consent checkbox (opt-in) during registration or at any time while maintaining an active account, the User acknowledges that they have read and accepted all terms of this Agreement. This Agreement becomes effective upon the User's creation of an account. If the User proceeds without creating an account, the Agreement is deemed accepted once the consent checkbox is marked.

Protection of Personal Data

Musichool has published a "Website Privacy Notice Regarding the Protection of Personal Data" in accordance with applicable personal data protection legislation. This notice explains how the User's personal data is collected, processed, stored, and transferred, and informs the User of their legal rights. By accepting this Agreement, the User confirms that they have read and understood the privacy notice regarding the processing of their personal data.

Termination of the Agreement

This Agreement shall remain in effect until terminated by either Party. Musichool may unilaterally terminate the Agreement if the User violates any of its provisions.

Force Majeure

Musichool shall not be liable for failure to perform its contractual obligations where such failure is due to circumstances beyond the Parties' control, including but not limited to: natural disasters, fires, explosions, civil unrest, war, uprisings, mobilization, strikes, lockouts, pandemics, infrastructure failures, internet outages, or power cuts ("Force Majeure"). During any period of Force Majeure, the Parties' rights and obligations under this Agreement shall be suspended.

Amendments

Musichool may partially or fully modify the services provided on the Site or the terms of this Agreement due to commercial considerations or changes in applicable law. The User is responsible for regularly reviewing updates published on the Site.

Notices

All notices relating to this Agreement shall be sent to the address or email address provided by the User at the time of registration, or as updated subsequently. The User agrees that the contact information provided is valid and undertakes to notify Musichool of any change in writing within five (5) days. If the User fails to update their contact information, notices sent to the last known address or email on record shall be deemed valid.

Governing Law and Dispute Resolution

Any disputes arising from the execution or interpretation of this Agreement shall be subject to the jurisdiction of the İstanbul Anatolian Courts and Enforcement Offices.
